Dormant ICHSC/Specialty Licences
What Are the Benefits and Disadvantages of Purchasing a Dormant ICHSC Licence Instead of Purchasing a Running Centre?
A dormant licence is a Ministry-issued authorization to operate the listed modalities in accordance with the Ministry requirements. On the registration of the sale with the MOHLTC, after Ministry approvals for Transfer and Relocation have been obtained, the dormant licence will be issued a unique Billing number, and it is good to go.
Please note: A dormant licence usually comes with no location (it usually has to be relocated from its current location), no clinic, no equipment, no lease.
The purchaser just buys the piece of paper that authorizes it to operate the DI centre with the allowed modalities in a location that has been approved by the Ministry.

Diagnostic imaging centres in Ontario operate under licences issued by the Ministry of Health — historically called Independent Health Facility (IHF) licences and now issued as Integrated Community Health Services Centre (ICHSC) licences under the Integrated Community Health Services Centres Act, 2023. Whichever term you may prefer to use, the underlying point is the same:
- A licence is basically an authorization from the MOHLTC to operate a DI centre for the modalities allowed under that licence, as per the requirements and standards of MOHLTC and Accreditation Canada. So long as the centre is being operated up to the Ministry standards, it is in good standing and all is good. But if it is not being operated up to their specified standards, it may be revoked permanently after appropriate warnings and chances to improve.
- There is a finite supply of these licences in the market, and no new ones are being issued, except special types like CT, MRI, etc.
- This licence is not a private asset you can simply hand over to the buyer. Transferring it requires MOHLTC regulatory approval. MedSalesGTA will take care of the regulatory approvals on your behalf.
- Since ultimately, an ICHSC licence is the property of the MOHLTC, you cannot obtain any bank loan for its purchase, nor put any lien against it.
No. An ICHSC licence is tied to a specific address. You cannot even operate in another unit in the same building without express approval of the Ministry. Each location requires a separate ICHSC licence.

Yes. An ICHSC/IHF licence transfer is subject to Ministry of Health approval after the terms of the sale are agreed upon between the two parties. A sale, share transfer, or change of control of the licensed entity requires a formal approval from the Director.
Review timelines are set by the Ministry and can vary from one application to the next, so we cannot promise a specific date. Certain aspects of the applications absolutely need appropriate responses, otherwise there is a risk of the application being rejected. We help with the application process so that it does not hold up the sale.
Yes. We charge a flat fee for relocation projects. This fee is refundable if you are purchasing the DI clinic or ICHSC licence through MedSalesGTA and the application is successful. We help identify optimal locations, and the commercial realtors in our team help secure competitive leases or purchase agreements, taking into consideration medical zoning, city by-laws and Ministry requirements.
Yes. MedSalesGTA has helped several clients with ICHSC licence expansions. Our Ministry of Health specialists prepare and submit applications at a cost that is a fraction of the actual value of the modalities added. We have played an active role in the past calls for applications for CT, MRI, GI Endoscopy and Orthopedics, and we are well prepared for the next round.
